Subscriptions

Subscription period

The Service or some parts of the Service are available only with a paid Subscription. You will be billed in advance on a recurring and periodic basis (such as daily, weekly, monthly or annually), depending on the type of Subscription plan you select when purchasing the Subscription.

At the end of each period, Your Subscription will automatically renew under the exact same conditions unless You cancel it or the Company cancels it.

Subscription cancellations

You may cancel Your Subscription renewal either through Your Account settings page or by contacting the Company. You will not receive a refund for the fees You already paid for Your current Subscription period and You will be able to access the Service until the end of Your current Subscription period.

If the Subscription has been made through an In-app Purchase, You can cancel the renewal of Your Subscription with the Application Store.

Billing

You shall provide the Company with accurate and complete billing information including full name, address, state, zip code, telephone number, and a valid payment method information.

Should automatic billing fail to occur for any reason, the Company will issue an electronic invoice indicating that you must proceed manually, within a certain deadline date, with the full payment corresponding to the billing period as indicated on the invoice.

If the Subscription has been made through an In-app Purchase, all billing is handled by the Application Store and is governed by the Application Store's own terms and conditions.

Fee Changes

The Company, in its sole discretion and at any time, may modify the Subscription fees. Any Subscription fee change will become effective at the end of the then-current Subscription period.

The Company will provide You with reasonable prior notice of any change in Subscription fees to give You an opportunity to terminate Your Subscription before such change becomes effective.

Your continued use of the Service after the Subscription fee change comes into effect constitutes Your agreement to pay the modified Subscription fee amount.

Refunds

Except when required by law, paid Subscription fees are non-refundable.

Certain refund requests for Subscriptions may be considered by the Company on a case-by-case basis and granted at the sole discretion of the Company.

If the Subscription has been made through an In-app purchase, the Application Store's refund policy will apply. If You wish to request a refund, You may do so by contacting the Application Store directly.

In-app Purchases

The Application may include In-app Purchases that allow you to buy products, services or Subscriptions.

More information about how you may be able to manage In-app Purchases using your Device may be set out in the Application Store's own terms and conditions or in your Device's Help settings.

In-app Purchases can only be consumed within the Application. If you make a In-app Purchase, that In-app Purchase cannot be cancelled after you have initiated its download. In-app Purchases cannot be redeemed for cash or other consideration or otherwise transferred.

If any In-app Purchase is not successfully downloaded or does not work once it has been successfully downloaded, we will, after becoming aware of the fault or being notified to the fault by You, investigate the reason for the fault. We will act reasonably in deciding whether to provide You with a replacement In-app Purchase or issue You with a patch to repair the fault. In no event will We charge You to replace or repair the In-app Purchase. In the unlikely event that we are unable to replace or repair the relevant In-app Purchase or are unable to do so within a reasonable period of time and without significant inconvenience to You, We will authorize the Application Store to refund You an amount up to the cost of the relevant In-app Purchase. Alternatively, if You wish to request a refund, You may do so by contacting the Application Store directly.

You acknowledge and agree that all billing and transaction processes are handled by the Application Store from where you downloaded the Application and are governed by that Application Store's own terms and conditions.

If you have any payment related issues with In-app Purchases, then you need to contact the Application Store directly.

Promotions

Any Promotions made available through the Service may be governed by rules that are separate from these Terms.

If You participate in any Promotions, please review the applicable rules as well as our Privacy policy. If the rules for a Promotion conflict with these Terms, the Promotion rules will apply.

User Accounts

When You create an account with Us, You must provide Us information that is accurate, complete, and current at all times. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of Your account on Our Service.

You are responsible for safeguarding the password that You use to access the Service and for any activities or actions under Your password, whether Your password is with Our Service or a Third-Party Social Media Service.

You agree not to disclose Your password to any third party. You must notify Us immediately upon becoming aware of any breach of security or unauthorized use of Your account.

You may not use as a username the name of another person or entity or that is not lawfully available for use, a name or trademark that is subject to any rights of another person or entity other than You without appropriate authorization, or a name that is otherwise offensive, vulgar or obscene.

Your Right to Post Content

Our Service allows You to post Content. You are responsible for the Content that You post to the Service, including its legality, reliability, and appropriateness.

By posting Content to the Service, You grant Us the right and license to use, modify, publicly perform, publicly display, reproduce, and distribute such Content on and through the Service. You retain any and all of Your rights to any Content You submit, post or display on or through the Service and You are responsible for protecting those rights. You agree that this license includes the right for Us to make Your Content available to other users of the Service, who may also use Your Content subject to these Terms.

You represent and warrant that: (i) the Content is Yours (You own it) or You have the right to use it and grant Us the rights and license as provided in these Terms, and (ii) the posting of Your Content on or through the Service does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person.

Content Restrictions

The Company is not responsible for the content of the Service's users. You expressly understand and agree that You are solely responsible for the Content and for all activity that occurs under your account, whether done so by You or any third person using Your account.

You may not transmit any Content that is unlawful, offensive, upsetting, intended to disgust, threatening, libelous, defamatory, obscene or otherwise objectionable. Examples of such objectionable Content include, but are not limited to, the following:

  • Unlawful or promoting unlawful activity.
  • Defamatory, discriminatory, or mean-spirited content, including references or commentary about religion, race, sexual orientation, gender, national/ethnic origin, or other targeted groups.
  • Spam, machine – or randomly – generated, constituting unauthorized or unsolicited advertising, chain letters, any other form of unauthorized solicitation, or any form of lottery or gambling.
  • Containing or installing any viruses, worms, malware, trojan horses, or other content that is designed or intended to disrupt, damage, or limit the functioning of any software, hardware or telecommunications equipment or to damage or obtain unauthorized access to any data or other information of a third person.
  • Infringing on any proprietary rights of any party, including patent, trademark, trade secret, copyright, right of publicity or other rights.
  • Impersonating any person or entity including the Company and its employees or representatives.
  • Violating the privacy of any third person.
  • False information and features.

The Company reserves the right, but not the obligation, to, in its sole discretion, determine whether or not any Content is appropriate and complies with this Terms, refuse or remove this Content. The Company further reserves the right to make formatting and edits and change the manner any Content. The Company can also limit or revoke the use of the Service if You post such objectionable Content. As the Company cannot control all content posted by users and/or third parties on the Service, you agree to use the Service at your own risk. You understand that by using the Service You may be exposed to content that You may find offensive, indecent, incorrect or objectionable, and You agree that under no circumstances will the Company be liable in any way for any content, including any errors or omissions in any content, or any loss or damage of any kind incurred as a result of your use of any content.

Content Backups

Although regular backups of Content are performed, the Company do not guarantee there will be no loss or corruption of data.

Corrupt or invalid backup points may be caused by, without limitation, Content that is corrupted prior to being backed up or that changes during the time a backup is performed.

The Company will provide support and attempt to troubleshoot any known or discovered issues that may affect the backups of Content. But You acknowledge that the Company has no liability related to the integrity of Content or the failure to successfully restore Content to a usable state.

You agree to maintain a complete and accurate copy of any Content in a location independent of the Service.

Copyright Policy

Intellectual Property Infringement

We respect the intellectual property rights of others. It is Our policy to respond to any claim that Content posted on the Service infringes a copyright or other intellectual property infringement of any person.

If You are a copyright owner, or authorized on behalf of one, and You believe that the copyrighted work has been copied in a way that constitutes copyright infringement that is taking place through the Service, You must submit Your notice in writing to the attention of our copyright agent via email at admin@buildersmeet.com and include in Your notice a detailed description of the alleged infringement.

Interpretation and Definitions

Interpretation

The words of which the initial letter is capitalized have meanings defined under the following conditions. The following definitions shall have the same meaning regardless of whether they appear in singular or in plural.

Definitions

For the purposes of this partnership agreement:

  • Account means a unique account created for You to access our Service or parts of our Service.

  • Affiliate means an entity that controls, is controlled by or is under common control with a party, where "control" means ownership of 50% or more of the shares, equity interest or other securities entitled to vote for election of directors or other managing authority.

  • Application means the software program provided by the Company downloaded by You on any electronic device, named Builders Meet

  • Company (referred to as either "the Company", "We", "Us" or "Our" in this Agreement) refers to Builders Meet Inc.

  • Country refers to: Ontario, Canada

  • Content refers to content such as text, images, or other information that can be posted, uploaded, linked to or otherwise made available by You, regardless of the form of that content.

  • Fee means the percentage or specific amount, which is payable by the Company to its Partner in accordance with the Services.

  • Partner means an individual or company that use the Services offer by the Company.

  • Partnership means becoming a Partner in Sale for a specific period of time with a certain proportion that will be determined by the Company and does not lead to the ownership or participation in the share of the Company.

  • Service refers to the Application.

  • Subscriptions refer to the services or access to the Service offered on a subscription basis by the Company to You.

  • Subscriber means an individual or company that on a subscription basis./p>

  • Terms and Conditions (also referred as "Terms") mean these Terms and Conditions that form the entire agreement between You and the Company regarding the use of the Service./p>

  • You means the individual accessing or using the Service, or the company, or other legal entity on behalf of which such individual is accessing or using the Service, as applicable.

Acknowledgment

These are the Terms and Conditions governing the use of this Service and the agreement that operates between You and the Company. These Terms and Conditions set out the rights and obligations of all Subscriber regarding the use of the Service.

Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms and Conditions apply to all visitors, Subscriber and others who access or use the Service.

By accessing or using the Service You agree to be bound by these Terms and Conditions. If You disagree with any part of these Terms and Conditions, then You may not access the Service.

You represent that you are over the age of 18. The Company does not permit those under 18 to use the Service.

In addition to the General terms and conditions, Privacy Policy , these Terms and Conditions apply to the access and use of the Partners Services offer by the Company.

These terms apply to the Partners, the Subscribers who are using the Company Services, its website and will explain and introduce our Services (refers to the Application.) to the other Subscriber to the extent the specific Service, training and connecting the Subscriber together.

You agree that by signing up for, or otherwise using the Services you are entering into a legal binding agreement which allow you connecting with the other Subscriber and third parties (Subscriber or Subscribers). The Services allow the Partners, Subscriber connect with each other and in case of training and purchasing the supplies through the Application (the software program provided by the Company downloaded by you on any electronic device, named Builders Meet), the Partners are entitled to receive a Fee.

You agree that your access to the Service and your Partnership is subject to the Company or its Affiliate determination and the Company or its Affiliate can terminate this agreement and paying the Fee at anytime at their own discretion.

To the extent of any conflict between different agreements that you have with us, these Terms and Conditions and any feature-specific terms govern with respect to the use of the Services you use through our website.

Each party to this agreement irrevocably waives, to the fullest extent permitted by applicable law, all right to trial and any legal proceeding arising out of or relating to this agreement or any other basic document or the transactions contemplated by this agreement.

If you are accessing or using our Services on behalf of a business or third party, you represent and warrant that you have the authority to do so and to bind that business or third party to these Terms and Conditions, and your agreement will be treated as their respective agreement. In this event, Builders meet may hold you responsible for violations of this agreement by that business or third party, and "you," "your" and "party" will also refer and apply to that business or third party.

You shall submit your Partnership request directly to the Company through the Partnership Panel and the Company or its Affiliate has the right to accept or reject the request without any further explanation.

When the Company accept Partnership, the Partner shall introduce its business in detail and share what have to offer and reach the target Users, Subscribers.

The Company will disclosure Partner’s introduction and information in the https://buildersmeet.com/ and collect and manage reviews and will not remove it unless the review is inappropriate or violet the Company policy.

No Responsibility Disclaimer

The Partner Services are designed to help you reach quality members such as builders, contractors, suppliers, etc. You are responsible for all postings and content therefor submitted by or on your behalf through our website, or individually including but not limited to the Services descriptions or content or training therefor offers to the Subscriber of such services. You assume total responsibility for your service.

If you rely on the Company website or any material, connection, Subscriber available through this website, you do so at your own risk. You understand that you had a chance to do your own due diligence and you are solely responsible for any damage may occur to you because of the services you have received from our website, and the Company will bare no responsibility in this regard.

The Company shall not be liable under any theory, whether based on contract, tort, negligence, strict liability or otherwise, even if the Company or any of its affiliates, members, employees or suppliers has been advised of the possibility of damages, to any user or any other third party for any incidental, direct, indirect, special, or consequential damages of any kind, including but not limited to any loss of use, loss of business or loss of profit, arising in any manner from or relating in any way to the service and any products, merchandise, information or other service provided through the service or on the internet generally.

You agree that the liability of the Company including but not limited to its Parents, Subscriber or Subsidiaries, and affiliates and its agents, partners and licensors, if any, arising out of any kind of legal claim in any way connected to the service stated in the website shall not exceed the amount you paid to the Company website for subscribing for use of the website.

By accessing the online Content, you agree and understand that: (i) your access to Online Content is subject to the Company Terms of Service and Privacy Policy (the "Terms"), which are subject to change, as well as additional terms and conditions imposed by the Online Content provider; (ii) airtime or data charges may apply and are your responsibility, so please check with your carrier; (iii) you are responsible for keeping your password and other credentials confidential, as password sharing with persons outside your household is prohibited; (iv) as fully described in the Terms, the Company may use its system and equipment to collect, use and store information regarding your use of the service, and may disclose anonymous usage information to online content providers and others; and (v) The Company may provide information about you to online content providers so that they can: (a) verify that you are an authorized the Company’s subscriber who has authority to access the online content, and (b) identify certain characteristics about you, such as your service location.

The Company has no responsibility for the online content or any other aspect of the third-party site, or for the use, storage, or disclosure of information that you provide to a third party. The Company is not responsible for webcasting, or any other form of transmission received from any third party or linked site nor is the Company responsible if the third party or linked site is not working appropriately. The Company’s provision of links or other access to a third-party site does not imply endorsement by the Company of the site or its contents, or affiliation with its operators. You are responsible for viewing and abiding by the privacy statements and terms of use posted at the third-party sites.

You are responsible for any activity conducted through your account, including any purchases made or charges incurred. If you identify that you are using our Services on behalf of a business, you agree that we may share information about your purchases and use of the Services with that business, including its representatives and agents. If that business indicates that you are no longer authorized to place ads on its behalf, you agree you may be removed from accounts associated with that business.

Payments and Fee

You agree to pay all applicable fees (“if applicable) taxes, government charges and foreign exchange fees. The Company will periodically charge your payment method at the applicable Rate. All amounts paid are non-refundable. You remain responsible for any uncollected amounts, and the Company may charge interest for any overdue amounts.

We may provide paid products and/or services within the Service. In that case, we may use third-party services for payment processing (e.g. payment processors).

The Company will pay Fee to its Partner according to terms of this Partnership agreement.

The Company offers two different Type of Fee payment based on its preference:

  • Referral Fee
  • Training Fee

In both, the Company will pay a certain Fee to the Partner(s) based on their activities and the Company will determine the length of the payment.

The Fee is not payable to the offered credits or bonus paid to the Partners.

The Fee will be awarded to the sale price before collection the HST/GST.

The Company has the option to accept or reject that claim in case the Partner request payment of the Fee.

After the referred or educated person apply and register in the Company website (https://buildersmeet.com/), the Company will determine that the Partner is qualified to request a Fee.

The Company has no obligation to pay the Partner continuously.

We access Partner qualification, and the Partner shall provide us with all required documents and meet the condition in accordance with the terms of this agreement.

The Partner shall disclose to the Company:

  • Its residential status In Canada; In the event that the Partner is a Canadian resident, must provide us with its SIN. If the Partner is not a Canadian resident, the Company will deduct %25 of each payment to be aid to the CRA.
  • Whether the Partner is an individual or a corporation; If the Partner is a corporation, provide us with a valid business number.

The Partner should choose one of the available payment options in the Company to get paid and cannot impose any other method of payment on the Company.

Confidentiality

All correspondence between the Company and the Partners, Subscribers relating to all Subscriber and services shall be considered to be strictly private and confidential between the parties involved and cannot be forwarded to any other party unless formal written permission is given, in advance, by the Company.

Should these conditions be breached by the Partners, Subscriber the Company reserves the right to charge the Partners, Subscriber a penalty Fee.

No Employment Relationship

Neither The Company nor the Partners, Subscriber will have (and must not represent that it has) the power, right or authority to bind the other, or to assume or create any obligation or responsibility, express or implied, on behalf of the other or in the other’s name.

Nothing stated in this agreement should be construed as constituting the Company nor the Partners, Subscriber as partners, in a joint venture, or as creating the relationship of employer and employee, master and servant or principal and agent between the parties.

General Disclaimer

The Company has not done any due diligent, background check or research about the Partners, Subscriber and details about of their qualifications, skills, supplies and experience. The information and report are based on details supplied to the Company. The Company accepts no responsibility whatsoever for errors, omissions, or incorrect conclusions.

The Company shall accept no liability on behalf of themselves, the employees, agents or assigns for any loss or damage, costs of compensation, howsoever caused, which the Partners, Subscriber may suffer or for which the Partners, Subscriber may become liable arising out of, or in connection with, or as a result of, the introduction by the Company to the Partners, Subscriber or due to the Subscriber ’s lack of familiarity with any relevant legislation.

Amendments

This Agreement may be amended, supplemented, or otherwise modified from time to time by the Company at its own discretion.

The Company may, in its sole discretion, modify, or terminate any part or all of the Services or suspend your ability to use the Services offer on the Website. The Company may reject or remove any posting, connecting at any time for any reason, regardless of whether or not such Posting was previously accepted or served.

The Governing Law

These terms and conditions and any agreement to which they apply shall be governed by the laws of Ontario. Your use of the Application may also be subject to other local, state, national, or international laws.

Limitation of Liability

Notwithstanding any damages that You might incur, the entire liability of the Company and any of its suppliers under any provision of this Terms and Your exclusive remedy for all of the foregoing shall be limited to the amount actually paid by You through the Service or 100 USD if You haven't purchased anything through the Service.

To the maximum extent permitted by applicable law, in no event shall the Company or its suppliers be liable for any special, incidental, indirect, or consequential damages whatsoever (including, but not limited to, damages for loss of profits, loss of data or other information, for business interruption, for personal injury, loss of privacy arising out of or in any way related to the use of or inability to use the Service, third-party software and/or third-party hardware used with the Service, or otherwise in connection with any provision of this Terms), even if the Company or any supplier has been advised of the possibility of such damages and even if the remedy fails of its essential purpose.

Some states do not allow the exclusion of implied warranties or limitation of liability for incidental or consequential damages, which means that some of the above limitations may not apply. In these states, each party's liability will be limited to the greatest extent permitted by law.

Disputes Resolution

If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting the Company.

Changes to These Terms and Conditions

The Company reserves the right, at its sole discretion, to modify or replace this Agreement at any time. If a revision is material we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at the sole discretion of the Company.

By continuing to access or use the Application after any revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, You are no longer authorized to use the Application.
